Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the services provided by MONO ("MONO," "we," "us," or "our"), including our web application, mobile application, and any related software or services (collectively, the "Service").

By creating an account or using the Service in any way, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you may not use the Service.

If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to that entity.

Description of Service

MONO is a performance intelligence platform that helps individuals and teams track work, align tasks to goals and KPIs, generate AI-powered performance summaries, and manage manager review workflows. The Service includes:

• Task and project management tools
• Goal and KPI tracking
• AI-generated performance reports and summaries
• Manager review and approval workflows
• Analytics and progress dashboards
• Team and org structure management
• Integrations with third-party tools (Notion, Google Calendar, and others)

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

Accounts & Registration

To use the Service, you must create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must be at least 16 years old to use the Service. By creating an account, you represent that you meet this age requirement.

You may not share your account with others, create accounts using automated means, or create accounts under false pretenses. We reserve the right to refuse registration or cancel accounts at our discretion.

You are responsible for notifying us immediately at hello@usemono.app if you suspect unauthorized use of your account.

Subscriptions & Billing

Plans

MONO offers a free plan and paid subscription plans ("Plus" and "Pro"). Paid plans are billed on a monthly basis. Plan details, features, and pricing are described on our pricing page and may change with reasonable notice.

Free Trial

Paid plans include a 30-day free trial. No credit card is required to start a free trial. If you do not cancel before the end of the trial period, you will be charged the applicable subscription fee.

Billing

By subscribing to a paid plan, you authorize MONO to charge your payment method on a recurring basis. All fees are in US dollars and are non-refundable except as required by law or as described in our refund policy. We use Stripe as our payment processor. Your payment information is subject to Stripe's privacy policy and terms.

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the period ends, after which your account will revert to the Free plan. We do not provide prorated refunds for partial months.

Price Changes

We may change subscription prices at any time. We will provide at least 30 days' notice of price changes to existing subscribers via email. Continued use of the Service after the new price takes effect constitutes your agreement to the new pricing.

Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe upon the intellectual property rights of others
• Upload or transmit any content that is harmful, offensive, defamatory, or fraudulent
• Attempt to gain unauthorized access to any part of the Service or related systems
• Interfere with or disrupt the integrity or performance of the Service
• Scrape, crawl, or use automated means to access the Service without our written permission
• Use the Service to send spam or unsolicited communications
• Impersonate any person or entity or misrepresent your affiliation
• Use the Service for any unlawful, harmful, or abusive purpose

We reserve the right to investigate and take appropriate action against anyone who violates these provisions, including removing content and suspending or terminating accounts.

User Content

"User Content" means any data, text, files, or other content you submit to or create within the Service — including tasks, goals, reports, notes, and meeting records.

You retain ownership of your User Content. By submitting User Content, you grant MONO a limited, non-exclusive, worldwide, royalty-free license to store, process, and display your User Content solely as necessary to provide the Service to you.

You are solely responsible for your User Content. You represent that you have all rights necessary to submit it and that it does not violate these Terms or any applicable law.

We do not use your User Content to train AI models or share it with third parties except as described in our Privacy Policy.

Intellectual Property

The Service and all content, features, and functionality — including but not limited to software, text, graphics, logos, icons, and the design of the Service — are owned by MONO and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Service or its content without our written permission.

"MONO" and our logo are trademarks of MONO. You may not use our trademarks without prior written consent.

Third-Party Services

The Service may integrate with or link to third-party services, including Notion, Google, and Stripe. Your use of those services is governed by their respective terms and privacy policies. We are not responsible for the practices of third-party services.

By connecting a third-party service to MONO, you authorize us to access and use data from that service as necessary to provide the integration features you've enabled.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. AI-generated content, including performance summaries, is provided for informational purposes and should be reviewed before use. We make no guarantees about the accuracy or completeness of AI-generated outputs.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MONO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT WILL MONO'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MONO IN THE 12 MONTHS PRIOR TO THE CLAIM OR (B) $100 USD.

Some jurisdictions do not allow the exclusion or limitation of certain types of damages, so the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless MONO and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.

Termination

You may stop using the Service and delete your account at any time from your account settings.

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or if we determine it is necessary to protect the Service or other users.

Upon termination, your right to use the Service will cease immediately. We may delete your data in accordance with our data retention policy. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

If you are a consumer in the EEA or UK, this choice of law does not affect any mandatory consumer protection rights you may have under the laws of your country of residence.

Changes to Terms

We may revise these Terms from time to time. When we make material changes, we will notify you by email or by posting a prominent notice in the Service at least 30 days before the changes take effect. We will also update the "Last updated" date at the top of this page.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance. If you do not agree to the new Terms, you must stop using the Service and may delete your account.
